The New Civil Transactions Law Changes How You Handle Contracts

The UAE published a new Civil Transactions Law. It's the framework that underpins how contracts, obligations and commercial dealings work across the whole economy.

For anyone running a consultancy, agency or professional services firm, this matters because your client agreements, service terms and payment obligations now sit under a revised legal structure. The old law stood for decades. This one replaces it with updated language on contract formation, performance and remedy. The Ministry of Justice held a forum to walk through the legislative intent and economic reasoning behind the change, which signals this isn't a minor tweak.

The practical question is whether your existing client agreements still hold water, or whether you need to revisit your standard terms. Contract language that assumed the old law's interpretation may now be read differently. For instance, how disputes are handled, what counts as material breach, or how force majeure clauses operate—these could shift. If you haven't reviewed your template agreements since the new law came into force, you're exposed.

Most firms don't think about this until a dispute lands on their desk. By then you're arguing with a client about whether the old or new law applies, which is both expensive and pointless if you'd seen it coming. A proper review of your engagement letters, scope of work templates and payment terms against the new law is overdue if you haven't done it. It doesn't have to be elaborate. You need to know whether your key commercial assumptions still hold.

Consaya doesn't interpret contract law or track regulatory changes—that's a lawyer's job. What it does is keep your books filing-ready and flag when corporate tax or VAT filings are due, so you're not caught flat-footed on compliance while you're managing client work. But the discipline of reviewing your contracts and terms is separate from that, and it's on you.

Set a reminder to have someone (you, a senior colleague, or a local legal advisor) walk through one of your standard client agreements against the new law in the next month. It's a half-day job and it'll save you thousands if a payment dispute ever reaches an arbitrator's desk.
